Commercial Cleaning Services Agreement
Please read the agreement carefully before accepting it electronically.
1. Appointment
The client appoints CleanHQ to provide commercial cleaning services at the site described in the quotation, service schedule or accepted proposal.
2. Scope of Services
The scope may include floors, offices, workstations, reception areas, kitchens, canteens, washrooms, internal bins, common areas, sanitising, internal glass and any periodic or specialist services specifically included in the quotation. Any excluded or additional service may be separately quoted.
3. Frequency and Service Times
Service days, staffing, frequency and operating hours are those stated in the accepted quotation, service schedule or written variation.
4. Contract Price and Payment
The client must pay the agreed contract price according to the invoice and payment terms. Material non-payment may result in service suspension after reasonable notice.
5. Price Review
The company may propose a reasonable price review following material changes to labour costs, statutory wage requirements, transport, cleaning chemicals, consumables, service frequency, premises size or scope. Reasonable written notice will be provided before a change takes effect unless otherwise agreed or required by law.
6. Personnel
The company will determine the personnel assigned to perform the contracted services and will take reasonable steps to ensure that personnel are appropriately instructed and supervised for their duties.
7. Client Non-Solicitation
The client should not intentionally bypass the company by directly engaging personnel introduced and assigned by the company in connection with this contract without first discussing the arrangement with the company. This clause applies only to the extent that it is reasonable and legally enforceable.
8. Equipment, Chemicals and Consumables
Responsibility for equipment, chemicals, toilet paper, hand soap, paper towels, bin liners and other consumables is determined by the accepted quotation or service schedule. Additional consumables supplied outside the agreed scope may be separately invoiced.
9. Access and Security
The client must provide reasonable access and relevant information concerning alarms, restricted areas, access cards, keys, parking, emergency procedures and other site requirements. The company will take reasonable measures to safeguard access credentials entrusted to it.
10. Health and Safety
Both parties will cooperate to maintain a reasonably safe work environment. The client must disclose known hazards. The company may refuse work that presents an unreasonable safety risk. Specialist hazardous-material or biohazard cleaning is excluded unless specifically agreed.
11. Quality Control
The company may conduct inspections and service reviews. The client should report legitimate service concerns promptly and, where reasonable, allow the company an opportunity to rectify deficiencies.
12. Damage
The company will exercise reasonable care. Alleged damage should be reported promptly with sufficient information and photographs where reasonably available. The company is not responsible for pre-existing defects, normal wear and tear or defects unrelated to the cleaning service. Nothing in this agreement excludes liability that may not lawfully be excluded.
13. Confidentiality and Client Property
The company and its personnel will take reasonable steps to protect confidential information encountered during service delivery. The client remains responsible for securing cash, securities, high-value items and confidential documents unless specific arrangements are agreed in writing.
14. Personal Information
Each party may process personal information reasonably necessary for administration and performance of this agreement and must do so in accordance with applicable South African privacy legislation.
15. Public Holidays and After-Hours Work
Services requested on public holidays, weekends or outside agreed operating hours may attract additional charges unless expressly included in the contract price.
16. Term and Termination
The contract term is the term stated in the accepted quotation or service schedule. Month-to-month agreements may ordinarily be terminated on reasonable written notice. Fixed-term cancellation rights and any reasonable cancellation charge remain subject to applicable South African law.
17. Suspension
Services may be suspended for material non-payment, unsafe conditions, denied access, abuse or threats against personnel, or other serious breaches, subject to reasonable notice where practicable.
18. Disputes and Governing Law
The parties will first attempt to resolve disputes through good-faith discussions between authorised representatives. This agreement is governed by the laws of the Republic of South Africa.
19. Entire Agreement
This agreement, the accepted quotation, service schedule, scope of work and written variations together constitute the commercial agreement between the parties.
